Terms of Service & End-User License Agreement

These Terms of Service and End-User License Agreement (“Terms”) govern access to and use of the services provided by Core Development Systems, LLC (“CoreDev,” “we,” “us”): the CoreDev field-service software platform (the “Platform”), websites we build and host for our customers, the AI Receptionist, digital signage, and the software we install on signage controllers (together, the “Service”). By signing a service agreement with us, creating or accepting an account, installing our software, or using the Service, you (“Customer,” “you”) agree to these Terms.

1. Who these Terms apply to

1.1 Customers. Businesses that subscribe to the Service under a signed Platform Service Agreement (“Agreement”).

1.2 Users. Anyone a Customer gives access to its account: owners, office staff, technicians, sales representatives and contractors. Each user agrees to these Terms when they accept an invitation or log in. The Customer is responsible for its users and for everything done under its account.

1.3 Signed agreement controls. If you have a signed Agreement with CoreDev, it governs fees, term, termination and anything else it covers. If these Terms and your Agreement conflict, the Agreement wins. These Terms fill in the rest.

2. License

Subject to these Terms and an active subscription, CoreDev grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your own business operations. This includes the software installed on any signage controller we provide or configure for you. CoreDev and its licensors own all rights, title and interest in the Platform, the website design and code, templates, tools, the controller software, and all improvements to them. The Service is a subscription, not a purchase: nothing in these Terms transfers any of that to you.

3. Websites we build

3.1 Template-based. Your website is built from CoreDev’s templates and design system, customized with your name, logo, colors, services, prices and content. It is not a from-scratch custom design. Custom animations, motion graphics, interactive experiences, custom applications and other work outside our templates are not included and, if we agree to do them, are quoted separately.

3.2 You provide the media. CoreDev does not create photos, video, logos, illustrations or copy. You supply them, with the rights to use them (Section 6.3). Where you do not supply an image we may use stock or placeholder imagery at our discretion, and you may replace it. Written content we draft from the information you give us is provided as a convenience and you are responsible for reviewing it before go-live.

3.3 Revisions. The build includes up to five (5) rounds of revisions before go-live. A round is one consolidated set of change requests sent together. Additional rounds, changes after go-live beyond routine content updates (prices, hours, contact details, service list), and redesigns are billed at our then-current hourly rate or by written quote.

3.4 Approval and go-live. You will review each round within five business days. If we do not hear from you within that time we may treat the current version as approved. Delays in providing materials or approvals move the go-live date but not the billing start date in your Agreement.

3.5 Ownership. You own your domain name, your trademarks, your business data and the content you supply. CoreDev owns the website design, code and templates. Your website is licensed to you as part of the Service and is taken offline when the Service ends (Section 11).

3.6 Your domain. Your domain name belongs to you. So that we can manage DNS, SSL and email records for your site, the domain is registered in, or transferred into, CoreDev’s registrar account with you listed as the owner (registrant). Domain renewal is included in your monthly fee up to $45 per year; if your domain’s renewal costs more (premium names, some country and specialty extensions), the amount above $45 is added to your next invoice. If you prefer to keep your domain at your own registrar, you may, and you then give CoreDev DNS access and pay renewals yourself. CoreDev will never sell, transfer or let your domain lapse while your account is in good standing.

4. Hosting and uptime

4.1 We host it. CoreDev hosts your website and Platform account on infrastructure we manage, including SSL certificates, backups and security updates. You do not need your own hosting.

4.2 Uptime commitment. CoreDev commits to 99.99% monthly availability of your website and the Platform, measured per calendar month and excluding: (a) scheduled maintenance windows, which we will announce in advance where practical and perform outside peak hours; (b) outages of third-party providers we depend on (hosting, DNS, payment processing, telephone and messaging carriers, Google, Yelp, Intuit); (c) problems caused by your actions, your content, your domain or DNS settings, or your equipment and internet connection; and (d) force majeure.

4.3 Remedy. If we miss the commitment in a month, your sole remedy is a credit against your next monthly fee, pro-rated to the downtime beyond the commitment and capped at that month’s fee. Request the credit within 30 days of the month in question.

5. Connected services and third parties

The Service depends on and can connect to third-party providers, including Stripe (payments, on your own Stripe account), Intuit QuickBooks Online (accounting sync), telephone and text-messaging carriers, Google, Yelp, and the AI model providers behind the AI Receptionist. When you connect a service you authorize the Platform to access and exchange data with it on your behalf to provide the features you enable. Those providers’ terms govern your use of their services; CoreDev is not responsible for their availability, changes or fees. Stripe’s processing fees are charged by Stripe and CoreDev takes no percentage of your customer payments. You may disconnect QuickBooks or Stripe at any time from your account settings, which revokes the Platform’s access.

6. Your responsibilities and acceptable use

6.1 Keep your account information, contact details and payment method current, and keep your login credentials and those of your users secure.

6.2 You are responsible for how you use the Service: your website content, the prices you publish, the messages sent to your customers, and the work you perform for them. CoreDev is not a party to your contracts with your customers.

6.3 You warrant that you own or are licensed to use everything you give us (names, logos, photos, video, text) and that our use of it to provide the Service will not infringe anyone’s rights.

6.4 You will comply with the laws that apply to your business, including consumer-messaging laws (for example the TCPA and CAN-SPAM). Customers who book, request a quote or give you their number through the Platform are contacted about that request and their appointments; you are responsible for any further consent your own use requires.

6.5 You will not use the Service to send spam; store or transmit unlawful, infringing or harmful content; attempt to access other customers’ data; probe, scan or disrupt the Service; or reverse-engineer, copy, resell, sublicense or white-label the Platform or the controller software except under a separate written agreement with CoreDev.

7. AI Receptionist

The AI Receptionist is an automated assistant that replies to inquiries on channels you enable (for example Yelp and website chat) on your behalf, using your published services and prices. It uses artificial intelligence and can misunderstand a question, misstate a price, or answer in a way you would not have. CoreDev configures, reviews and improves it but does not guarantee the accuracy of any reply. You will review its conversations regularly and tell us promptly about answers that should change. You are responsible for every quote, commitment and statement made to your customers through the AI Receptionist. You authorize CoreDev to store those conversations and to use them, and de-identified data derived from them, to tune, operate and improve the assistant.

8. Digital signage

8.1 Controllers. A signage controller is a small computer we configure that plugs into your screens and plays the content you schedule in the Platform. The controller software is licensed under Section 2. It connects outbound to CoreDev’s servers only, accepts commands only from those servers, and may be disabled remotely by CoreDev if your account is suspended or ends.

8.2 Monitoring. To show you the health of your screens, controllers report status on a schedule and can capture a screenshot of what is currently displayed on request or on a schedule. Those screenshots show your signage content, not people, and are retained only as long as needed to display them to you.

8.3 Hardware and content. Screens, mounts, cabling and power are yours. Controller hardware we supply is covered by whatever your Agreement says; otherwise it is provided as is. You are responsible for the content you display and for having the rights to it.

9. Fees and payment

9.1 Fees, billing cycle, setup charges and any add-ons are as stated in your Agreement. Fees are billed monthly in advance. Late payment, suspension, reinstatement and collection terms are in your Agreement. Fees are non-refundable except as your Agreement expressly provides.

9.2 Automatic payment is required. The Service is sold on automatic payment only. You keep a valid card or bank account on file and authorize CoreDev, through its payment processor, to charge it automatically for all amounts due under your Agreement, including monthly fees, add-ons, domain renewal overages, late fees and past-due amounts, without further authorization. You will replace an expiring or cancelled payment method before your next billing date. Cancelling automatic payment, removing your payment method without replacing it, or blocking our charges with your bank while any amount can still come due is a material breach and is treated as a failed payment. Manual invoicing, checks and paper billing are not offered.

10. Term and termination

10.1 Initial term. The Service is sold for an initial term stated in your Agreement, then continues month to month until either party cancels on 30 days’ written notice.

10.2 Early termination. Because CoreDev builds and configures your website and Platform up front and prices the Service over the full initial term, you may not cancel at any time after signing and before the end of the initial term, including while your website is being built, without paying an early termination fee equal to the monthly fees for the remaining months of the initial term, plus any waived setup fee and any past-due amounts, as set out in your Agreement. Work begins when you sign, and the first charge is non-refundable.

10.3 By CoreDev. We may suspend or terminate the Service for non-payment, for a breach of these Terms that is not cured within 15 days of notice, or immediately if you use the Service unlawfully or in a way that harms CoreDev, other customers or third parties.

11. What happens when the Service ends

11.1 Your access to the Platform ends, we take your website offline, and any signage controllers stop playing content. The website, the Platform, the controller software and everything CoreDev built remain CoreDev’s property and are not delivered to you.

11.2 Your data comes with you. Your business data (customers, jobs, quotes, invoices, payment history) belongs to you. Within 30 days after the Service ends, on your written request, CoreDev will send you an export of that data in a standard format (CSV/JSON) at no charge. After 30 days we may delete it.

11.3 Your domain stays yours. Within 30 days after the Service ends, on your written request and once all amounts due are paid, CoreDev will transfer the domain to a registrar account in your name (or, if it was always at your registrar, release DNS control). Registrar transfer fees, if any, are yours. If no request is made within 30 days, CoreDev may let the domain expire at the end of its current registration period.

12. Support

CoreDev provides support by email and text during its normal business hours and addresses unplanned outages as quickly as reasonably possible.

13. Warranties and disclaimers

CoreDev warrants that it will perform the Service in a professional and workmanlike manner; your exclusive remedy for a breach of that warranty is re-performance of the affected work. Search rankings, lead volume, bookings and revenue depend on Google, Yelp, competition, seasonality and your own reputation, pricing and responsiveness, and CoreDev does not guarantee any ranking, number of leads, number of bookings or level of revenue. Except as stated in this Section and Section 4, the Service is provided “as is” and CoreDev disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

Software has bugs. The Platform, your website, the AI Receptionist and the signage software are software, and software can contain errors, go down, sync incorrectly or behave unexpectedly. CoreDev keeps backups and fixes problems as quickly as reasonably possible, but CoreDev is not responsible for lost or corrupted data, lost income or profits, missed appointments or bookings, business interruption, or any other loss caused by a bug, outage, sync error, third-party failure or your own or your users’ actions. You are responsible for keeping your own copies of anything critical to your business and for checking that quotes, invoices, charges and messages are correct before they go to your customers.

14. Limitation of liability and indemnity

14.1 To the fullest extent allowed by law, CoreDev’s total liability arising out of or relating to these Terms, your Agreement or the Service will not exceed the fees you paid to CoreDev in the three (3) months before the event giving rise to the claim.

14.2 Neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, even if advised of the possibility.

14.3 You will defend and indemnify CoreDev against third-party claims arising from your content, your business or services, your violation of law (including messaging-consent laws), statements made to your customers through the AI Receptionist, or your breach of these Terms.

14.4 These limits do not apply to your payment obligations or to either party’s indemnity obligations.

15. Privacy

How we handle your data, your users’ data and your customers’ data is described in our Privacy Policy, which is part of these Terms.

16. General

16.1 Governing law and venue. These Terms are governed by the laws of the State of Nevada, USA, without regard to conflict-of-laws rules, wherever you are located. Disputes will be resolved exclusively in the state or federal courts in Clark County, Nevada, except that CoreDev may seek collection of amounts due in any court of competent jurisdiction.

16.2 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, except for payment obligations.

16.3 Assignment. You may not assign your Agreement or these Terms without CoreDev’s written consent. CoreDev may assign them to a successor of its business.

16.4 Changes. We may update these Terms; material changes will be posted here with a new “Last updated” date. Changes do not alter the fees or term of a signed Agreement during its initial term.

16.5 Severability; waiver. If any provision is unenforceable it will be limited to the minimum extent necessary and the rest remains in effect. Failure to enforce a provision is not a waiver.
