Terms of Service & End-User License Agreement

These Terms of Service and End-User License Agreement (“Terms”) govern your access to and use of the software platform (the “Platform”) provided by Core Development Systems, LLC (“CoreDev,” “we,” “us”). By creating an account or using the Platform, you (“Customer,” “you”) agree to these Terms.

1. License

Subject to these Terms and your active subscription, CoreDev grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform for your business operations. We retain all rights, title, and interest in the Platform and its software.

2. Your responsibilities

• Provide accurate account information and keep your credentials secure.
• Use the Platform lawfully and only for your legitimate business purposes.
• You are responsible for the data you enter — including your clients’ data — and for obtaining any consents required to process it.

3. Connected integrations

The Platform can connect to third-party services such as QuickBooks Online (Intuit) and Stripe. When you connect a service, you authorize the Platform to access and exchange data with it on your behalf to provide the features you enable (e.g., accounting sync, payments). Your use of those services is also governed by their own terms. You may disconnect any integration at any time from your account settings, which revokes the Platform’s access.

4. Acceptable use

• No illegal, infringing, or abusive use.
• No reverse engineering, copying, or reselling the Platform except under a separate written agreement.
• No attempts to disrupt or gain unauthorized access to the Platform or other accounts.

5. Fees

Access is provided under your selected subscription plan. Fees, billing cycle, and any setup charges are as agreed at sign-up. Payment-processing fees charged by Stripe to your connected account are separate and governed by Stripe.

6. Disclaimers

The Platform is provided “as is” and “as available,” without warranties of any kind, express or implied. We do not warrant that the Platform will be uninterrupted or error-free, or that data sync with third-party services will always be complete or timely.

7. Limitation of liability

To the maximum extent permitted by law, CoreDev will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or data, arising from your use of the Platform. Our total liability is limited to the amounts you paid us in the twelve months before the claim.

8. Termination

You may stop using the Platform at any time. We may suspend or terminate access for breach of these Terms or non-payment. On termination, your right to use the Platform ends; data handling follows our Privacy Policy.

9. Governing law

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law rules.
